So, a clause that specifies governing law tells you which state's laws will be used to interpret and enforce the contract. A clause that specifies the forum tells you which state's or country's courts will hear the case. These can be chosen independently, and one does not automatically fix the other.

For example, you can have New York law govern the contract while disputes are heard in California courts. The second option is incorrect because the law does not fix the forum, and the third option is incorrect because the forum does not determine governing law. They are separate concepts and serve different purposes.
